1) Agreement to Terms

These Terms of Use ("Terms") govern your access to and use of pillmaxx.com, any pages that link to these Terms, and related online services we provide (collectively, the "Services"). By accessing or using the Services, you confirm that you are at least 18 years old (or 13+ with parent/guardian involvement) and that you agree to be bound by these Terms. We may update these Terms by posting a revised version with a new "Last Updated" date; continued use after posting means you accept the changes.

2) Relationship to Privacy Policies & HIPAA

Information we collect via the Services is described in our Privacy Policy. If we handle Protected Health Information (PHI) in our role as a healthcare provider, those activities are governed by our HIPAA Notice of Privacy Practices. Where there is a conflict between these Terms/Privacy Policy and the HIPAA Notice for PHI, the HIPAA Notice controls. Uses or disclosures of PHI for marketing generally require a valid HIPAA authorization except for narrow exceptions defined by regulation (e.g., face‑to‑face communications, nominal gifts).

3) Health Content Disclaimer (No Medical Advice)

The Services may include general information about medications, conditions, and therapies. Such information is provided for educational purposes only, is not comprehensive, and does not replace professional medical advice, diagnosis, or treatment. You should not rely on the Services for decisions about your health. Always seek the advice of a qualified healthcare professional.

4) Eligibility & Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You agree to notify us promptly of any unauthorized use. We may suspend or terminate access for violation of these Terms or to protect the Services.

5) Permitted Use & Prohibited Conduct

You may use the Services only for lawful, personal purposes. You agree not to:

Use the Services in a way that violates any law or regulation
Interfere with or disrupt the Services, or attempt to probe, scan, or test for vulnerabilities
Use automated means to access or scrape content without our written permission
Upload or transmit viruses, malware, or harmful code; infringe others’ rights; or post unlawful, abusive, or misleading content

6) Intellectual Property; Limited License

The Services (including text, graphics, logos, icons, and software) are owned by Pillmaxx or our licensors and are protected by intellectual property laws. We grant you a limited, revocable, non‑transferable license to access and use the Services for personal, non‑commercial use. Any other use (e.g., reproduction, modification, distribution) requires our prior written consent.

7) User Submissions

If you submit feedback or materials (collectively, "Submissions"), you grant Pillmaxx Rx a non‑exclusive, worldwide, royalty‑free license to use, reproduce, and create derivative works from your Submissions for operating and improving the Services, subject to applicable law and our Privacy Policy/HIPAA obligations for PHI. We may remove Submissions that violate these Terms.

8) Product, Service & Pricing Information

References to products or services on the Services do not imply availability, endorsement, or suitability. We may change or discontinue any feature, product, or price at any time without notice. Transactions may be subject to additional terms.

9) Communications; SMS/Text Messaging Terms

By opting in, you agree to receive Pillmaxx Rx SMS messages (e.g., refill updates, delivery windows, reminders). Message frequency varies; message & data rates may apply. Reply STOP to opt out; HELP for help. Program requires express consent and clear disclosure at opt‑in, including program name, frequency, "message & data rates may apply," a link to terms and privacy policy, and opt‑out instructions. For marketing texts, we obtain prior express written consent; consent is not a condition of purchase.

10) Third‑Party Links and Tools

The Services may link to third‑party websites or tools not controlled by Pillmaxx. We are not responsible for their content, policies, or practices. You access third‑party services at your own risk and should review their terms and privacy policies.

11) California Consumer Privacy Rights (CPRA)

If you are a California resident, you may have rights under the California Consumer Privacy Act as amended by the CPRA, including the rights to know, correct, delete, and to opt‑out of "sale" or "sharing" of personal information. See our Privacy Policy for details.

12) Disclaimers

The Services and all content are provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of accuracy, non‑infringement, merchantability, or fitness for a particular purpose. We do not warrant that the Services will be uninterrupted, secure, or error‑free.

13) Limitation of Liability

To the fullest extent permitted by law, Pillmaxx Rx and our affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of data, profits, or revenues, arising from or related to your use of (or inability to use) the Services, even if advised of the possibility of such damages. Our total liability for all claims relating to the Services shall not exceed the greater of (a) $100 or (b) the amounts you paid to Pillmaxx Rx (if any) for the Services in the 6 months before the claim. Some jurisdictions do not allow certain limitations; in those cases, some limitations may not apply to you.

14) Indemnification

You agree to defend, indemnify, and hold harmless Pillmaxx Rx and our affiliates, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services or violation of these Terms.

15) Governing Law; Dispute Resolution

These Terms are governed by the laws of the State of California (without regard to conflict‑of‑laws rules).

Binding Arbitration; Class Action Waiver

Except for small‑claims matters or claims for injunctive relief, any dispute arising out of or relating to these Terms or the Services will be resolved by final and binding individual arbitration, rather than in court, and you and Pillmaxx waive any right to a jury trial or to participate in a class action. The arbitrator may award individual relief but may not consolidate claims without consent.

30‑Day Opt‑Out: You may opt out of this arbitration provision by sending written notice within 30 days after you first accept these Terms, to: Pillmaxx Rx — Legal, 2061 N Los Robles Ave, Suite 103, Pasadena, CA 91104, or privacy@pillmaxx.com. Your notice must include your name, address, phone number, and a clear statement that you wish to opt out of arbitration.

Arbitration Rules & Fees: Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted in Los Angeles County, California, unless both parties agree to a virtual or document‑only proceeding. Each party will be responsible for its own attorneys’ fees; the arbitrator may award fees and costs where authorized by law.

16) Changes to the Services or Terms

We may modify or discontinue any part of the Services at any time. We may update these Terms by posting a revised version with a new “Last Updated” date. Your continued use after changes become effective constitutes acceptance of the revised Terms.

17) Termination

We may suspend or terminate access to the Services at any time, including if we reasonably believe you violated these Terms or to protect our users or operations. Upon termination, your right to use the Services ceases immediately, but certain provisions will survive (e.g., IP ownership, disclaimers, limitations of liability, dispute resolution).
